These Terms of Service ("Terms") govern your access to and use of the DialerBee platform and services provided by BroadNet Technologies Ltd ("DialerBee", "we", "our", "us").

1. Acceptance of Terms
By creating an account, accessing, or using the DialerBee platform ("Service"), you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.
2. Service Description
DialerBee is an AI-powered outbound dialing platform providing:
- Campaign management with multiple dialing modes (Preview, Power, Progressive, Predictive)
- AI answering machine detection (AMD) with multilingual transcript classification
- Browser-based WebRTC agent desktop
- Real-time supervisor tools (listen, whisper, barge, wallboard)
- Call recording, playback, and retention management
- Compliance-supporting controls (DNC, calling hours, consent tracking, audit logging)
- Multi-tenant architecture with per-tenant isolation
- REST API and webhook integrations
- WhatsApp and SMS follow-up capabilities
The specific features available depend on your subscription plan.
3. Account Registration
To use the Service, you must register for an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use
- Ensuring that account administrators manage user access appropriately
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.
4. Subscription & Payment
4.1 Pricing
Subscription fees are per-agent as published on our pricing page. Plans are available on monthly or annual billing cycles. Annual plans offer a discount and require a 12-month commitment.
4.2 Billing
Fees are billed in advance for the billing period. Payment is due upon invoice. We accept credit cards and bank transfers. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
4.3 BYOC Costs
If you use Bring Your Own Carrier (BYOC), telecom and carrier charges are billed separately by your SIP provider. DialerBee platform pricing does not include telecom usage charges.
4.4 Price Changes
We may modify pricing with at least 30 days written notice. Price changes take effect at the start of your next billing cycle. If you do not agree to a price change, you may cancel before it takes effect.
4.5 Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for paying any applicable sales, use, VAT, or similar taxes.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or industry standard
- Make calls without proper consent where required by applicable law
- Contact numbers on applicable Do-Not-Call registries in violation of law
- Harass, threaten, defraud, or cause harm to any person
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service's operation or infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Resell or redistribute the Service without a partner agreement
- Use the Service for any purpose that is illegal or prohibited by these Terms
Violation of this section may result in immediate suspension or termination of your account.
6. Compliance Responsibilities
DialerBee provides compliance-supporting tools including DNC enforcement, configurable calling-hour rules, consent tracking, CLI ownership verification, and immutable audit logging. These tools are designed to help operationalize your compliance policies.
You remain solely responsible for legal compliance in all jurisdictions where you operate. This includes but is not limited to: TCPA (US), GDPR (EU), TDRA (UAE), CITC (KSA), NTRA (Egypt), TRC (Jordan), and any other applicable regulations. We recommend consulting qualified legal counsel for jurisdiction-specific requirements.
DialerBee does not provide legal advice. References to regulatory frameworks on our website or in our documentation are for informational purposes only.
7. Data Ownership
You retain all rights, title, and interest in your data, including:
- Contact lists and lead data you upload
- Call recordings generated through your campaigns
- Campaign configurations and compliance rules you define
- Reports and analytics derived from your data
We do not claim ownership of your data. We process your data solely to provide and improve the Service, as described in our Privacy Policy and applicable Data Processing Agreement.
8. Intellectual Property
The Service, including its software, algorithms, user interface, documentation, and branding, is the intellectual property of BroadNet Technologies Ltd. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during the subscription term.
You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent. White-label partners receive specific licensing terms under their partner agreement.
9. Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information includes: business plans, pricing, technical specifications, customer data, security practices, and any information marked as confidential.
Confidentiality obligations do not apply to information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law.
10. Service Availability & SLA
10.1 Uptime Target
We target 99.95% monthly uptime for Enterprise plans. Uptime is calculated as: (total minutes in month − downtime minutes) / total minutes in month × 100. Scheduled maintenance windows communicated at least 48 hours in advance are excluded from downtime calculations.
10.2 Exclusions
We are not responsible for downtime caused by:
- Your carrier, SIP provider, or internet service provider
- Force majeure events (natural disasters, war, government action)
- Your equipment, software, or network
- Actions taken by you that impact service performance
10.3 SLA Credits
Enterprise customers with a signed SLA may be eligible for service credits if monthly uptime falls below the committed level. Credit terms are defined in your Enterprise agreement.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- DialerBee's total aggregate liability for any and all claims arising from or related to the Service shall not exceed the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities
- We are not liable for damages arising from your failure to comply with applicable laws or these Terms
These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify, defend, and hold harmless DialerBee and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third party's rights
- Data you upload to or process through the Service
13. Termination
13.1 By You
You may cancel your subscription at any time with 30 days written notice. Monthly plans end at the end of the current billing period. Annual plans are non-refundable for the committed term.
13.2 By Us
We may suspend or terminate your account immediately if you: violate these Terms; fail to pay fees after 15 days written notice; or use the Service in a way that poses a security risk to the platform or other customers.
13.3 Effect of Termination
Upon termination: your access to the Service will be revoked; your data will be available for export for 30 days; after the export window, data will be deleted in accordance with our retention policies and applicable law.
14. Data Export & Deletion
Upon contract termination or upon written request, we will:
- Make your data available for export in standard formats (CSV, JSON, MP3 for recordings) for 30 days
- Delete your data from active systems within 30 days after the export window closes
- Remove your data from backups within 90 days, subject to our backup rotation schedule
- Provide written confirmation of deletion upon request
Data subject to legal hold, regulatory retention requirements, or active legal proceedings may be retained as required by law.
15. Modifications to Terms
We may modify these Terms from time to time. When we make material changes:
- We will update the "Last updated" date at the top of this page
- We will notify you via email at least 30 days before material changes take effect
- We will provide a summary of changes in the notification
If you do not agree to modified Terms, you may cancel your subscription before the changes take effect. Continued use after changes take effect constitutes acceptance.
16. General Provisions
- Governing law: These Terms are governed by the laws of the jurisdiction specified in your subscription agreement
- Dispute resolution: Any disputes will be resolved through good-faith negotiation, followed by binding arbitration if necessary, unless otherwise specified in your Enterprise agreement
- Entire agreement: These Terms, together with the Privacy Policy, DPA (if applicable), and your subscription agreement, constitute the entire agreement between you and DialerBee
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition
- Waiver: Failure to enforce any provision does not constitute a waiver of that provision
- Force majeure: Neither party is liable for failure to perform due to causes beyond its reasonable control
